Peran Notaris Dalam Antisipasi Perusahaan Pailit Di Era New Normal

Abstract

The Covid-19 pandemi period is a difficult time. One of the real impacts that our economy has become chaotic because many companies are facing the threat of bankruptcy due to the temporary inactivity of their businesses. The problems raised in this article how government policies deal with the threat of bankruptcy experienced by companies and what is the role of notaries in anticipating bankrupt companies in the new normal era. The writing of this article uses the normative juridical method, which is to examine the law from an internal perspective with the object of research being the applicable legal norms with secondary data collection techniques. The results of this article include: First, the government issued several policies that companies can implement to minimize the occurrence of bankruptcy such as tax relief, restructuring. Second, the role of Notary in preventing companies from going bankrupt in the new normal era is to provide input on restructuring by looking at the capabilities the debtor, the agreement that has been approved of the restructuring can be written down by the Notary in an Authentic Deed, especially the Deed of Relaas concerning the Restructuring of the Company usually stated in the Minutes of the GMS.

Abstrak

Masa pandemi Covid-19 merupakan masa sulit dan berat yang harus dijalani dengan penuh perjuangan. Dampak nyata salah satunya perekonomian kita menjadi kacau balau karena banyak perusahaan-perusahaan mengalami ancaman kepailitan akibat tidak beroperasinya usaha mereka untuk sementara waktu. Permasalahan yang diangkat dalam artikel ini bagaimana kebijakan pemerintah dalam menangani ancaman pailit yang dialami perusahaan di era new normal serta bagaimana peran notaris dalam mengantisipasi perusahaan pailit di era new normal. Penulisan artikel ini menggunakan metode yuridis normatif, yaitu meneliti hukum dari perspektif internal dengan objek penelitian norma hukum yang berlaku dengan teknik pengumpulan dari data sekunder. Hasil dari artikel ini meliputi: Pertama, Pemerintah mengeluarkan beberapa kebijakan untuk diterapkan oleh perusahaan agar meminimalisir terjadinya kepailitan seperti keringanan pembayaran pajak, restrukturisasi, dan lain sebagainya. Kedua, peran Notaris didalam mencegah perusahaan pailit di era new normal adalah dengan memberikan masukan mengenai restrukturisasi dengan melihat kemampuan yang dimiliki oleh debitor, kesepakatan yang telah disetujui didalam pelaksanaan restrukturisasi tersebut dapat dituangkan Notaris ke dalam Akta Autentik khususnya Akta Relaas mengenai restrukturisasi perusahaan yang biasanya dituangkan di dalam Berita Acara RUPS.
